Nepal Investment Mega Bank’s general meeting on Magh 21, what is the agenda?

Kathmandu. Nepal Investment Mega Bank Limited has called its 38th general meeting. As per the decision of the company’s board of directors held on Magh 21, the meeting has been called from 10 am on Falgun 15 at the National Assembly House on Exhibition Road, Kathmandu.

The bank has decided not to pay dividends to shareholders for the previous fiscal year. Nepal Investment Mega Bank, which was formed by the merger of the former Nepal Investment and Mega Bank, has not paid any dividends to shareholders so far.

The general meeting will discuss and approve the report of the board of directors for the fiscal year 2080/81. The meeting will discuss and pass the balance sheet ending in Ashar, along with the auditor’s report, and the profit and loss account and cash flow statement for the fiscal year 2080/81 ending on the same date.

The general meeting will also pass a proposal to approve the consolidated financial statements for the fiscal year 2080/81, including the financial statements of the bank’s subsidiaries NIMB S Capital Limited and NIMB Stock Markets Limited.

Similarly, the meeting will appoint an auditor to audit the fiscal year 2081/82. There is a program to elect 4 directors on behalf of the founding shareholders and 2 on behalf of the general shareholders.

The general meeting will pass a special resolution granting full authority to the board of directors to make any amendments or changes if directed by the regulatory body.

Also, for the purpose of the general meeting, the bank has decided to close the books from Magh 29 until the general meeting. Accordingly, only shareholders who have been traded on the NEPSE until Magh 28 will be allowed to participate in the meeting.
